These terms govern your use of HAIL Framework. Please read them carefully. By enrolling in the certification, creating an account, or using any of the tools, you agree to be bound by them.
1. What HAIL Framework is
HAIL Framework is (a) an educational certification program built on the HAIL-ETHIC framework, and (b) a set of eight governance diagnostic tools used alongside that program. It is operated by Sarah Smith-Barry LLC, a Texas limited liability company doing business as HAIL Framework.
2. Who can enroll
You must be at least 18 years old and have lawful intent in using the program. By enrolling, you confirm both.
3. Pricing, payment, and refunds
Certification is offered at the tiers listed on the pricing page. Payment options include one-time payment and, for the Individual Certification, a three-installment plan.
Refund policy: a full refund is available to the original payment method within 7 days of purchase and before any module quiz attempt, whichever comes first. Once you have attempted any module quiz, or once your certificate has been issued, the enrollment is final and not refundable. If a refund is processed for any reason after a quiz attempt or certificate issuance, including chargebacks initiated through your card issuer, your HAIL credential is automatically revoked: the certificate ID will return "revoked" on public verification at hailframework.com/verify.html, and any continued use of the HAIL-Certified designation is unauthorised. Certificate delivery is contingent on passing each of the 8 module quizzes at 80% or higher.
4. Your content
Anything you type into the tools, your diagnostic responses, your notes, and the reports the tools generate for you remain your property. HAIL Framework does not claim any ownership or license over your inputs or your generated reports.
5. Our content
The HAIL curriculum, the HAIL-ETHIC framework, the FAST framework, the tool designs, the module content, the certificate template, and the HAIL brand are the intellectual property of Sarah Smith-Barry LLC. Your enrollment grants you a non-transferable, non-exclusive license to view, use, and apply this material during and after your enrollment for your own professional practice. You may reference the framework in your own work with attribution (HAIL-ETHIC, Sarah Smith-Barry).
6. Tool disclaimers
The diagnostic tools are advisory. They are not audits. They are not legal, compliance, or risk advice. They do not certify compliance with any law, standard, or regulation. Their outputs are a structured way to surface questions, not a substitute for qualified counsel, independent audit, or regulator-specific guidance.
7. Acceptable use
- No reselling or transferring your enrollment, credentials, or certificate to another person.
- No automated scraping, crawling, or bulk export of course content or tool pages.
- No reverse engineering, decompiling, or attempting to derive source from the platform.
- No sharing of individual account credentials. One account, one learner.
8. Certificates
HAIL certificates carry a unique verifiable identifier that can be looked up on hailframework.com/verify.html. A HAIL certificate represents individual accomplishment by the named holder. It is not a corporate endorsement and does not transfer to the holder's employer.
9. Termination
We may suspend or terminate access for a material breach of these terms. You may cancel your enrollment at any time. Cancellation does not entitle you to a refund outside the window described in Section 3. Certificates issued before cancellation remain valid; certificates associated with refunded enrollments are revoked per Section 3.
10. Disclaimers and limitation of liability
HAIL Framework is provided "as is" and "as available", without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Sarah Smith-Barry LLC's total aggregate liability arising from or related to these terms is capped at the total fees you paid in the 12 months preceding the claim. Some jurisdictions do not allow these limitations; in those places the limitation applies only to the extent permitted.
11. Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to its conflicts of law rules. Any dispute arising under these terms will be resolved in the state or federal courts located in Travis County, Texas, or at Sarah Smith-Barry LLC's election, by binding individual arbitration administered by the American Arbitration Association.
